Member Terms of Use
Article 1 – MEMBERSHIP AGREEMENT:
The Membership Agreement [the obligations of which are repeated in the Member Terms of Use] forms a binding agreement between the Member and YAYC and governs the Member's access and use of YAYC’s educational courses, research and solutions (the "Membership Privileges"). This Agreement also covers YAYC’s provision of Membership Privileges.
Hereinafter, "You", “Yours” will refer to the Member, whereas “Us”, “Ours”, “We” will refer to YAYC.
By accessing or using any of the Membership Privileges, You agree to be bound and abide by the Agreement and any amendments thereto. Read this Agreement carefully especially since the contents may affect your legal and lawful rights such as requiring binding individual arbitration and limiting your right to bring a lawsuit or claim or class action. If you do not agree to these terms, please destroy this document (if downloaded), and or delete the email by which it was communicated to You.
Article 2 - MEMBERSHIP:
Any man or woman of any age who satisfies the membership qualifications shall be eligible to apply to become a member.
We reserve the right to refuse Member status to any applicant.

We reserve the right to refuse any application where it is believed that such an application would create, or cause to be created, a conflict of interest or compromise the security, or integrity of the youandyourcash.com website (“Site”), or pose a risk to existing members.
We do not deal with consumers. We only deal with Members. We are under no obligation to approve any application nor are We under any obligation to tolerate abuse of any kind.
Article 3 – MEMBERSHIP FEES AND SUBSCRIPTIONS:
Once Your application for membership has been accepted, access to the Site is subject to payment of a membership subscription (currently £5.00 per month), which is used to fund the costs of maintaining the Site and backend systems.
The membership subscription is an ongoing monthly fee and provides the Member with access to various courses and research playlists.

A Member is not entitled to any return or rebate of subscription and remains liable for any unpaid subscription(s) or other sums due from him or her to YAYC in relation to any Privileges accessed but as yet unpaid.
We reserve the right to pursue the resigning/expelled Member for any sums owed to YAYC by way of Debt Recovery activity and/or Legal Action, the costs of which will be incurred by, and borne by, the resigning/expelled Member.
Where We Determine that an outstanding Debt is owed to Us, and or where compensation/damages are due to Us You agree that administration charges, and or collection charges, and or interest @ 8% per annum may be added to any outstanding balance(s) owed to YAYC regardless of how they were accrued.
If for whatever reason formal enforcement proceedings are deemed appropriate You agree that all and any related costs and expenses incurred by Us in tracing Your location and or recovering the Debt from You (including but not limited to the employment of debt recovery agents prior to the instigation of court proceedings), shall be recoverable from You and payable by You, together with interest @ 8% per annum.
Article 4 – ACCESS TO SITE CONTENT
You will have access to Site Content so long as You:

You may download (under limited Licence) only that Content which is clearly and expressly flagged as being available for download (eg many of the power point pdfs for Courses and templates) (“Downloads”) on the proviso that You:
If You cease to be a Member (whether Your decision or Our decision) You must immediately destroy all and any Content downloaded from the Site (regardless of whether said Content
is held in digital or paper format), and You agree and accept that You will immediately lose and surrender and forgo all access to the Site, including courses, lectures, webinars and seminar
recordings you may have previously gained access to.
You may not subsequently copy and re-upload to the internet or other websites, any of Our Content and or anything downloaded from the Site, regardless of whether it retains Our branding or not.
You are prohibited from downloading any of Our Content to a database, server, or personal computer for reuse whether by You or others. In some circumstances (as aforementioned) You are permitted to download certain items from Our Content: eg templates for non-commercial personal use only.
Access to Our Content is Licensed (limited Licence) to Members only for non-commercial private viewing by said Member only and any distribution (unless authorised or permitted by law) copying, transmission, public performance, alteration or reverse engineering is strictly prohibited and may result in criminal and or civil liability.
You are prohibited from downloading and or copying Content for any commercial purposes and or for distribution and or posting online. You may not copy, reproduce, re-engineer, republish, upload, post, transmit or distribute our Content in any way shape or form for any purpose without first obtaining Our express written permission. You may not present and or re-present information, ideas and or strategies (obtained from the Site) as Your own creation(s) and or idea(s).
You may not add, delete, distort or misrepresent any content on or from the Site. All and any attempts to modify Content in an attempt to circumvent Our security features and or intellectual property rights is prohibited.
In the event You download Content including but not limited to text, software, data files, image files, video files, and or data accompanying, You agree without limitation that the Online Materials are for Your individual sole personal non-commercial use only.
We do not infer or agree or intend any transfer of title to You which means We retain full and complete title to the Content and to all of the associated intellectual-property rights.
Member status is NOT for households, couples or groups. All Content is for Your individual sole personal non-commercial use only. If You join the Site and or access a course, lecture, seminar, webinar You do not have the right to share access with other members of Your household, nor do You have the right to share access with Your husband, wife, boyfriend, girlfriend, children, parents, friends, neighbours, acquaintances, and or work colleagues (list not exhaustive).
You are neither allowed nor permitted to sell or redistribute Content nor to reverse-engineer, disassemble or otherwise convert it to any other form.
When You submit suggestions, ideas, graphics, comments, remarks ("Material") to Us, including but not limited to any other information that You send through the Site the Material becomes and remains Our property even if We later terminate Your access to the Site.
You further understand We don’t have to treat any submission as confidential and You cannot sue us for using the ideas You submit. If We use them, or anything like them, We do not have any obligation to pay You or anyone else for the use. Furthermore We will have complete and exclusive ownership of all present and future rights to submissions of any kind and We can use said submissions for any purpose We deem to be appropriate without compensating You or anyone else for them.
Access to Content is Licensed to You for the duration of Your authorised stay on the Site. Once Your authorised stay ends, for whatever reason, Your Licensed access to Our Content ends.
Your stay and continued access to Our intellectual property is determined by Your conduct and Your ongoing compliance with the House Rules.
Violation of the House Rules does not entitle You to continued ongoing access to seminars, lectures, lessons, solutions, webinars You may have acquired and or purchased and or attended.
In other words, all seminars, lectures, lessons, solutions, webinars together with all information(s), text(s), form(s), (download(s), and the like is/are Licensed to You on the basis that You comply with the House Rules and remain a Member of the Site.
If you violate and or breach the House Rules and or the spirit of the House Rules, We reserve the right to terminate Your Member status and revoke Your Licence and, in turn, revoke your use of, and or access to, the Site and all Content.
Logic dictates that had You attended a lecture/webinar/seminar live You would only have had access once, at said live-event. We provide ongoing access to recordings subject to Your compliance with the House Rules.
Violate Our House Rules, or act in a way which causes Us to believe You are a threat to the Site, and or are here to cause trouble, annoyance, and or nuisance and You agree that We can remove Your access to all Content, and ban You from the Site without notice and without explanation.
Article 5 – MEMBERSHIP QUALIFICATION
Any man or woman who meets the following qualifications (the "Membership Qualifications") may be entitled to apply for membership subject to the provisions contained in this Membership Agreement:
Article 6 – NATURE OF YAYC
YAYC is a private trust (“Trust”). Members have neither rights nor interests in the Trust, other than their limited licensed access to Content. Members ought to desire the ongoing success of YAYC because it will, in turn, mean that members continue to receive the opportunity to access thoroughly researched course materials and proven solutions.
Article 7 – NON DISCLOSURE AGREEMENT
The Member agrees to act in good faith to maintain the private nature of the Site, its content, its and its members by honoring and adhering to, in good faith, the terms of all agreements with YAYC.
The Member agrees to keep all contents of the Site and any third-party services (collectively “Confidential Information”) confidential, and the Member agrees not to disclose, publish, or disseminate Confidential Information to any third party without the prior written consent of YAYC. Both Parties acknowledge that any violation or threatened violation of this Non Disclosure Agreement may cause irreparable injury to YAYC, entitling YAYC to seek injunctive relief in addition to all legal remedies.
The confidentiality obligations of this Non Disclosure Agreement shall survive for a period of 999 years from the date of this Agreement. No supplement, modification, or amendment of this Article shall be binding unless executed in writing by both Parties. No waiver will be implied from conduct or failure to enforce rights.
Article 8 – MANAGEMENT OF THE SITE
The Site is managed by a team of administrators. The Trustees of YAYC have ultimate decision-making power over the Content and arrangement of the Site.
Members are encouraged to provide constructive feedback and make constructive suggestions for improvement. Constructive, in this context, means:
Article 9 - TERMINATION:
We, at Our own discretion, reserve the right to remove and/or expel any member believed to be a threat to the security and/or integrity of YAYC, the Site, Our Intellectual Property, the Content, the Confidential Information, and or the membership.
Any Member acting, or behaving, in a way which is in serious breach of the Rules, and/or is believed to undermine the membership Rules, Intellectual Property, and/or is believed to represent a threat to the members of YAYC, at Our sole discretion, will have their membership and access terminated, with immediate effect and without notice.
The Member is not entitled to any return or rebate of subscription and remains liable for any unpaid subscription together with any other sums due from him or her to YAYC in relation to any Privileges.
We reserve the right to pursue the resigning Member for any sums owed to YAYC by way of Debt Recovery activity and/or Legal Action, the costs of which will be incurred by the resigning Member and added to any outstanding sums owed to YAYC.
Any Member who resigns or whose membership is terminated is not permitted to return under any circumstances.
If We deem it appropriate to terminate Your Member status (for whatever reason) You will no longer have access to the Site and You will no longer have access to any of the Content – that is the penalty for non-compliance with the House Rules.
You are free to terminate Your member status at any time by cancelling Your subscriptions and leaving, or by emailing [email protected] and expressing Your desire to terminate Your Member status. Once Your “intention” is known, You will immediately lose all access to the Site including but not limited to any Content You may have previously been granted a Limited Licensed to access.
You agree that upon the termination of Your Member status You will continue to be bound for 999 years to those parts of the House Rules which require You to maintain the privacy and confidentiality of the Site and its Content and its Confidential Information, and which require You to refrain from bringing Us or the Site into disrepute. In other words, You agree Not to disparage Us in any way shape or form.
In addition: by making Our Content / Intellectual Property available to You on the Site, We do not in any way shape or form, promise that said Content / Intellectual Property will remain available to You.
In the event You have not accessed a Course at the time of Termination of Your membership, We will refund You the cost of said Course.
Since Seminars/Webinars (“Events”) are generally accepted to be one off events that may attract an entrance fee, We are under no obligation to make recordings available to You.
Should We choose to make recordings of Events available to You, You agree that We are not obliged to make such recordings available to You after Your membership is terminated.
We may revoke Your access to any Course, Content, Event and or playlist at any time if We believe Your intentions are nefarious or if We believe You intend to violate this agreement.
Article 10 - LIMITED LICENSE:
The Member acknowledges and agrees that the Our name, Membership Privileges, and any logos, designs, text, graphics, software, content, files, materials, and any other intellectual property rights contained therein, including without limitation, any copyrights, patents, trademarks, proprietary or other rights arising thereof, are owned by either YAYC or its affiliates, licensors, or suppliers.
The Member acknowledges and agrees that the source and object code of certain Membership Privileges and the format, directories, queries, algorithms, structure, are intellectual property of YAYC, and are proprietary, and confidential information of YAYC and its affiliates, licensors, and suppliers.
The Member expressly agrees not to do anything inconsistent with Our ownership of the intellectual property discussed herein. The Member further agrees that he/she has no rights, title, or interest in or to any Membership Privileges and or Content, except as stated in this Agreement.
In addition, except as expressly set forth in this Agreement, the Member is not conveyed any right or license by implication, estoppel, or otherwise in or under any patent, trademark, copyright, or other proprietary rights of the Trust or any third party.
For all and any Membership Privileges which enable you to use any software, content, equipment or other physical or non-physical materials owned or licensed by us, we grant you a limited, revocable, non-exclusive, non-sublicensable, non-transferable license to access and use the specific Membership Privileges, and any related software, content, equipment, or other materials for your personal, private, non-commercial use only.
Article 11 – RESTRICTIONS AND OUR INTELLECTUAL PROPERTY:
In accordance with and where appropriate in addition to the General Terms of Use, you are prohibited from, and expressly agree that You will not:
Unless otherwise indicated, all content comprising the Site is Our proprietary property and all source code, databases, functionality, software, website designs, audio, music, video, text, photographs, phrases, information, images, names, illustrations, sample letters, templates, handouts, ideas, strategies and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, trade names and logos contained therein (the “Marks”) are owned or controlled by Us or, where applicable, are licensed to Us.
Content and Marks are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United Kingdom, international copyright laws, and international conventions. The Content and the Marks are provided on the Site “AS IS” for your information and private personal use only.
Except as expressly provided in this Agreement, no part of the Site and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without Our express prior written permission.
Provided that You are eligible to use the Site, You are granted a limited license to access and use the Site and the Content therein. Where specifically authorised to do so You may download or print a copy of certain portions of the Content solely for your personal, private, non-commercial use.
We retain all copyright, trademark and proprietary interests in the Content and Marks at all times, all rights reserved.
Article 12 - THIRD PARTY SERVICES:
Certain Memberships Privileges may integrate, be integrated into, or be provided in connection with third-party websites, services, content, and/or materials ("Third-Party Services"). We do not control any Third-Party Services. We additionally make no claim or representation regarding the third-party services and accept no responsibility for, the quality, content, nature, or reliability of Third-Party services accessible from our websites, application, software, or any other element of the Membership Privileges.
There is no implied affiliation, endorsement, or adoption by the Association of these Third-Party Services, and We shall not be responsible for any content provided on or through these Third-Party Services.
Article 13 - MEMBER CONSENTS:
The Member agrees to hold YAYC, its owners, affiliates, and representatives, harmless from all liability for any damages, whether tangible or intangible, that may happen to the Member while participating in the Membership Privileges.
The Member agrees that YAYC offers its membership program with no guarantee of results of any kind. The Member agrees that any results that occur during their membership, whether positive or negative, are the effects of the Member's own personal choices.
The Member agrees and verifies that all the information they have given YAYC and its representatives is accurate, up to date, and without the omission of any requested information.
The Member agrees and verifies that even if they have omitted any necessary personal information, whether knowingly or unknowingly, they will hold YAYC harmless against all liability for any damages that may occur to the Member or others because of the Member's actions or inaction.
The Member agrees to notify YAYC of any changes or upcoming changes concerning their personal information.
Article 14 - ASSUMPTION OF RISK:
The Member agrees and understands that their participation in the Membership Privileges may involve risks. These risks may lead to tangible or intangible harm, and the Member agrees that these risks may result not only from their own actions but also from the actions of others. With the knowledge and understanding of these risks, the Member chooses, of their own will and volition, to continue participating in the Membership Privileges.
Article 15 - INDEMNIFICATION:
The Member agrees to defend and indemnify YAYC and its affiliates (where applicable) and hold them harmless against any and all legal claims and demands, including reasonable legal fees, which may arise from or relate to the Member's use or misuse of the activities, the Member's breach of this Agreement, or the Member's conduct or actions. The Member agrees that YAYC shall be able to select its own legal counsel and may participate in its own defense, if so desired.
Article 16 – LAWFUL DISCLAIMER
Everything within this Agreement and all Our other materials are written and spoken in plain and simple English.
YAYC does not engage in any financial or legal services and its Membership Privileges are not intended to be legal, tax, litigation, estate planning, accounting, banking or other similar professional or expert advice. Its Privileges are for informational and educational purposes only.
All educational coursework, including downloadable material such as audio, visual, or written format is for personal entertainment and individual private education only.
Use of the Membership Privileges, including but not limited to, downloads, recording, copying of any kind from the website without express permission from YAYC is expressly forbidden. YAYC reserves all rights.
Article 17 - ENTIRE AGREEMENT:
This Agreement (in conjunction with and in addition to the General Terms of Use) constitutes the entire understanding between the Member and YAYC with respect to any and all use of the Site and its Contents. This Agreement supersedes and replaces all prior or contemporaneous agreements or understandings, written or oral, regarding the Parties' relationship. In the highly unlikely even that terms within this Agreement conflict with those in the General Terms of Use, the terms in this Agreement supersede and replace those in the General Terms of Use.
Article 18 - COUNTERPARTS:
This Agreement may be executed in counterparts, all of which shall constitute a single agreement. The Agreement shall be effective as of the date set forth above.
Article 19 - SURVIVAL:
Any provision of this Agreement which by its terms and very nature imposes continuing obligations on either of the parties shall survive termination of this Agreement.
Article 20 - SEVERABILITY:
If any provision of this Agreement shall be held or made invalid by a court decision, statute or rule, or shall be otherwise rendered invalid, the remainder of this Agreement shall not be affected thereby. In other words, if any provision or part of a provision of this Agreement is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions.
Article 21 – COMPLAINTS POLICY & DISPUTE RESOLUTION PROCEDURE:
Most enquiries can be answered very quickly by the YAYC admin team.
If a Member remains unsatisfied, he/she may wish to raise a Complaint.
What is a Complaint?
A Complaint is a formal written expression of dissatisfaction which is intended to be treated as a formal “Complaint” and is clearly marked [identifiable] as such.
A formal Complaint will typically allege that the Member has suffered some form of material loss, distress or inconvenience.
The Member agrees that should he/she have cause to make a formal Complaint, he/she will do so in accordance with the YAYC Complaints Policy.
Where a Member remains unsatisfied with the Final Response, said Member may dispute the Final Response (“Appeal”).
Where an Appeal is invoked, the Member expressly, and unequivocally, agrees to abide by, and be bound by, without objection, the outcome of YAYC’s internal Dispute Resolution Procedure. The Member irrevocably waives any and all rights to resolve the dispute outside of this stated Procedure in a public court, or other tribunal.
The parties agree that the Appeals Panel shall be vested with full authority and power to conduct and complete a binding review of the Appeal and produce a binding irrevocable Determination.
The parties agree that the Appeals Panel will make their Determination by a minimum of two-thirds majority vote.
Limited Power of Public Courts
The Member acknowledges and accepts that the power and jurisdiction of the public courts shall be limited in scope to the enforcement and execution of any Appeals Panel Determination.
The Member also acknowledges and accepts that the Complaints Policy & Dispute Resolution Procedure shall be the Member’s exclusive form of relief.
Article 22 - GOVERNING LAW:
This Agreement shall be governed by and construed in accordance with international private law, subject at all times to the right of the parties to resolve matters among themselves and in so doing exercise their unalienable right to subject only the enforcement and or execution of Appeals Panel Determinations to the jurisdiction of the public courts in the applicable state.
Article 23 - NOTICES:
All notices, requests, consents, claims, demands, waivers, and other communications hereunder (each, a "Notice") shall be in writing and addressed to the parties at the addresses set forth on the first page of this Agreement. All notices shall be delivered by email or at the address which the parties may designate to each other.
Any notice required or allowed to be given to the Member under the Rules is validly given if:
Any notice required or allowed to be given by the Member to YAYC under this Agreement is validly given if sent by post or email to YAYC at the postal or email address documented herein, or appearing on the Contact Us page of the Site.
Except as otherwise provided in this Agreement, a Notice is effective only if (a) the receiving Party has received the Notice and (b) the Party giving the Notice has complied with the requirements of this Article.
Article 24 - HEADINGS:
Headings to this Agreement are for convenience only. Headings shall in no way affect the provisions themselves and shall not be construed in any way that would limit or otherwise affect the terms of this Agreement.
Notification of Changes
YAYC reserves the right to amend/modify the Member Terms of Use from time to time. Please visit the Site periodically to obtain the latest version. If We decide to change the Member Terms of Use in any material way, We will notify You here, and by email. In all cases, Your continued use of:
constitutes acceptance to any such changes.
If You do not agree with the House Rules, do not use the Site and leave immediately.
